EOG’s Commitment to Employees

For the sixth consecutive year since EOG was eligible for consideration, the company was named to Fortune Magazine’s 2012 list as one of “The 100 Best Companies to Work For.” The list, compiled by the Great Place to Work® Institute in San Francisco, bases its rankings on two criteria. First, the company’s policies and its culture are evaluated. Second, and more important, the opinions of the company’s employees regarding credibility, respect, fairness, pride and camaraderie are sought.

Training and Development Opportunities at EOG

EOG’s Education Assistance Policy provides 90 percent reimbursement for post-secondary education which either better qualifies an employee for present duties or prepares the employee for future placement within the company. The policy also provides 100 percent reimbursement for professional certification tests, such as Professional Engineer, CPA, bar examinations and Certified Professional Secretary.

EOG participates in the Nautilus Geoscience Training Alliance and Engineering Training Alliance, the premier membership-based training curriculum for the oil and gas industry. Technical personnel are expected to attend training annually.

In addition, EOG provides internally developed management training to supervisory personnel. Topics include administering policies, performance management, supervisor responsibilities, skill-building in communication, conflict resolution, delegation and coaching for improved performance. EOG also holds several internal technical conferences each year designed to provide sharing of best practices and technical advances across the company. The conferences cover exploration, drilling, completions, reservoir engineering, production and safety/environmental topics.

EOG also provides internal training in use of computer systems and applications. Employees may also attend external training which relates to their specific job functions.

EOG’s Code of Business Conduct and Ethics

It is EOG’s policy to conduct all business in accordance with the highest ethical standards and in full compliance with the laws of all countries where it operates and to treat all employees fairly and with respect. All employees are required to acknowledge receipt of EOG’s Code of Business Conduct and Ethics when hired. The EOG Code of Business Conduct and Ethics states:

“Introduction
It is the policy of EOG Resources, Inc. and its subsidiaries (together, “EOG” or the “Company”) that the conduct of every director, officer and employee while acting on behalf of the Company shall be based upon the highest ethical standards and compliance with the law....

“Compliance with Laws, Rules and Regulations
Obeying the law, both in letter and in spirit, is the foundation on which this Company’s ethical standards are built. All directors, officers and employees must respect and obey the laws of the cities, states and countries in which we operate....

“Fair Treatment and Mutual Respect
The diversity of the Company’s employees is a tremendous asset. EOG policies are designed to ensure that all employees are treated fairly and with respect by the Company and each other. We will hire, evaluate, transfer, compensate and promote employees based on skills and performance, not on unlawful considerations. We are firmly committed to providing equal opportunity in all aspects of employment and firmly committed to providing a workplace free of discrimination, segregation and harassment based on race, color, religion, sex, sexual orientation, national origin, age, marital status, pregnancy, disability, veteran status, status as an alien authorized to work in the United States or any other status protected by law. Similarly, offensive or hostile working conditions created by such harassment or discrimination will not be tolerated.”

“Non-Retaliation
Employees, officers and directors are expected to cooperate in reporting possible Code violations and in internal investigations of possible Code violations or other unethical or illegal conduct. The Company will not take adverse action or otherwise allow retaliation against any employee who in good faith reports suspected violations of the Code or suspected illegal or unethical conduct. Any employee who retaliates against an employee who in good faith reports a suspected violation of the Code will be subject to disciplinary action, including termination of employment.”

In addition to the Code of Business Conduct and Ethics, EOG has other written policies further promoting these ideals and standards. These policies are applicable to all employees and operations worldwide.
